Brains Bioceutical NASDAQ listing: SPAC merger valued at $750m

NewsUnited Kingdom

Brains Bioceutical, a cannabinoid pharma maker with UK manufacturing, announced on 5 November 2026 its plan for a NASDAQ listing through a SPAC merger with Armada Acquisition Corp. III, at a pre-money valuation of about $750 million.

Key points

  • Brains Bioceutical would list on NASDAQ via a merger with Armada Acquisition Corp. III, at about 0m pre-money.
  • The combined company would be called Brains Therapeutics Corp. and trade under the symbol BAPI.
  • Closing is expected in the second quarter of 2027, subject to shareholder approval and NASDAQ clearance.

The deal was signed on 31 October 2026 and made public on 5 November, according to Business of Cannabis. Armada Acquisition Corp. III, a special purpose acquisition company (SPAC), would acquire Brains at a pre-money valuation of about $750 million. Both boards approved the agreement unanimously.

Un nouveau nom et un ticker

The merged company would operate as Brains Therapeutics Corp. and trade on NASDAQ under the symbol BAPI. Brains is headquartered in Vancouver, British Columbia, with manufacturing in Kent, in the United Kingdom.

Existing Brains shareholders are expected to convert 100% of their shares into the combined entity, with no cash-out for current holders.

Un premier depuis GW Pharmaceuticals

If completed, it would be the first US public market entry by a UK-based cannabinoid pharma manufacturer since Jazz acquired GW Pharmaceuticals in 2021. That is the comparison drawn in the same report.

SPACs have long been a common route for cannabis and cannabis-adjacent firms to reach major exchanges. A wave of deals in late 2020 and 2021 brought WM Technology (June 2021, MAPS), Clever Leaves (December 2020, CLVR) and Leafly (February 2022, LFLY) to NASDAQ.

Ce que Brains met sur la table

The Kent site produces pharmaceutical-grade cannabinoid active ingredients, including CBD, delta-9 THC, delta-8 THC, CBN and CBG. Brains reports regulatory experience in the US, UK, EU, UAE, Japan, Australia and Brazil.

Its pipeline, as described in the announcement, includes:

  • global commercial rights to an extended-release methazolamide formulation for glaucoma, which passed a pivotal bioequivalence study under an FDA Special Protocol Assessment;
  • clinical trial supply for an NIH-funded Phase 3 study of a cannabinoid-based treatment for opioid use disorder;
  • a proprietary oral capsule for epilepsy and an in-house sleep disorder programme.

The Phase 3 study is funded with $18 million from the NIH and has recruited 450 subjects across seven sites. Brains also holds an exclusive option to negotiate a licence for the opioid programme.

Les dirigeants défendent l’opération

Rick Brar, CEO and chairman of Brains, said the company has built the manufacturing, regulatory and scientific foundations to compete in the pharmaceutical market at scale. Stephen Herbert, CEO and chairman of Armada III, said Brains meets the criteria the SPAC was formed to find, including differentiated technology and a substantial addressable market.

Des approbations encore attendues

The Armada III sponsor and some Brains shareholders have signed support and lock-up agreements. Closing is expected in the second quarter of 2027. Shareholder approval and NASDAQ regulatory clearance are still required.

Ce que ça change pour toi

For now, this is a financial story about pharma-grade cannabinoids, not a change to what you can buy. It would not directly alter the rules for consumer products in Europe.

It could, however, signal growing investor interest in regulated cannabinoid manufacturing. If you want to explore the consumer side, browse our CBD flower collection or the wider Spliff product range. Every Spliff product is lab-tested: THC content below 0.3% (0% for vapes and pods).
